Terms of Service

Welcome to yuph.dev. Please read these Terms of Service carefully before engaging our services.

1. Services & Agreements

We provide custom web design, SEO optimization, and back-office workflow automation. By requesting a quote or hiring us, you agree to these terms.

2. Flat-Rate Project Scope

Each project is scoped and agreed upon under a flat-rate written quote. Any changes or additions requested outside the agreed project scope will be treated as new work and quoted separately.

3. Payment Structure

All standard projects follow a 50% upfront deposit and a 50% final launch payment structure. Development begins upon receipt of the initial deposit. The final balance is due upon approval of the staging build, prior to credentials handover and public launch. Optional maintenance retainers are billed monthly.

4. Code & Asset Ownership

Full ownership of the custom codebase, design assets, and administrative credentials will be transferred to you immediately upon receipt of the final payment. Until final payment is settled in full, all assets and source files remain the intellectual property of Pak Hei Yu DBA yuphdotdev.

5. Free Edge Hosting Disclaimers

We set up web assets directly on Cloudflare’s free edge network. The Cloudflare account is created in your name, and you own the credentials directly. While Cloudflare’s standard static hosting tier is currently $0/month, we do not control Cloudflare’s network, and we are not liable for hosting downtime, outages, or future changes to Cloudflare’s terms or pricing.

6. Third-Party Costs & Integrations

Any paid integrations, external services, custom plugins, domain registration, API keys, or SaaS subscriptions (e.g. database servers, specialized email APIs, CRMs) required to operate your website or automated workflows must be paid directly by the client. These external fees are billed to you by their respective providers and are not included in our flat-rate quote.

7. Limitation of Liability

We design and build systems with high diligence, but we are not liable for any direct or indirect business losses, sales losses, or system interruptions that occur after the code has been launched and handed over to you.

8. Governing Law & Jurisdiction

These Terms of Service are governed by the laws of Ontario, Canada. Any dispute arising from our services will be settled in the courts of Mississauga, Ontario, Canada.
